H1: Senior Counsel – Governance & Securities H2: Join Our Team at Mastercard Bold Headline: Seeking Experienced Senior Counsel for Corporate Governance & Securities Role at Mastercard Summary: We are seeking an experienced and highly skilled Senior Counsel to join our team at Mastercard. This role will focus on providing legal support for securities, compliance, and governance matters, as well as public company reporting. The successful candidate will have a JD from an accredited law school and be a member in good standing of the State Bar of New York. Prior experience in corporate and securities law, particularly in a law firm setting, is preferred. Strong written and verbal communication skills, attention to detail, and proficiency in legal research are also essential for this role. Responsibilities: • Advise on corporate governance and securities law matters • Ensure compliance with public company reporting and disclosure requirements • Lead preparation and filing of Proxy Statement • Provide support for the Board of Directors and executive leadership team • Manage Board materials and oversee insider trading and Section 16 filing processes • Maintain corporate website and benchmark securities and governance issues • Assist with preparation of agenda and materials for Nominating and Corporate Governance Committee meetings Qualifications: • JD from an accredited law school and member in good standing of the State Bar of New York • Prior relevant experience in corporate and securities law (law firm experience preferred) • Strong corporate governance and securities experience • Excellent written and verbal communication skills • High level of attention to detail and proficiency in legal research • Proficiency in MS Office and database tools • Ability to build relationships and work well in a team Mastercard is an equal opportunity employer and values diversity in its workforce.
