Job Requisition ID: R-565 Salary Range: $75, - $160, per year Job Description: The Counsel - Financial Services will provide legal guidance and support on matters related to financial documents, transactions, policies, and procedures for a multi-state banking entity. This position reports to the Bank’s General Counsel and will work closely with employees, shareholders, and customers. Key Responsibilities: - Advise on laws and regulations associated with regulated financial institutions, including corporate governance matters. - Provide guidance on SEC matters, Fair Disclosure regulations, insider trading guidelines, executive compensation, and shareholder concerns. - Review and negotiate agreements, contracts, and other legal documents. - Ensure contract terms and conditions address primary business risk areas. - Serve as lead negotiator and/or relationship manager with vendors. - Analyze and advise on legal and regulatory issues related to product solutions and strategic projects. - Collaborate with business teams and legal/compliance colleagues to develop policies and procedures. - Instruct and liaise with external counsel on transactional and product matters. - Assist with managing litigation and regulatory filings. - Possess knowledge of commercial banking services and products, including digital products and services. - Other duties as assigned. Requirements: - Juris Doctorate or Master of Laws degree from an ABA accredited law school. - 8+ years of experience in a . law firm or in-house legal department with a focus on banking transactions and related matters. - Active member in good standing with the state bar association of a footprint state of the Bank (., Pennsylvania, Ohio, New York) or able to qualify for admission within 180 days of employment. - Strong background in secured transactions and experience in bank regulatory matters, bank charters, change in control, acquisition activities, community reinvestment activities, and bank service agreements. - Familiarity with treasury and merchant services, electronic financial transactions, and the payments industry. - Excellent communication, negotiation, and analytical skills. Work Location: This is a remote (hybrid) position with the option to work at either the Main Office in Indiana, PA or the North Shore Office in Pittsburgh, PA. Work Hours: Monday - Friday, 8:00am - 5:00pm (additional hours may be required to fulfill the needs of the department). Physical Demands: This position may require up to 60% of the business day to be spent using manual dexterity skills for typing and data entry.
