This role involves working with executive employment agreements, incentive plans, and other compensation-related matters. The ideal candidate will bring strong legal acumen in M&A transactions and employee benefits law.

Duties:

  • Draft, negotiate, and advise on executive employment agreements.
  • Design and administer equity incentive plans, including profits interest plans.
  • Provide legal guidance on compensation and benefits issues during M&A transactions.
  • Advise on various executive compensation matters, including compliance with legal standards.
  • Manage complex compensation-related documentation and negotiations.
  • Collaborate with internal teams and external clients to ensure compliance with applicable regulations.

Requirements:

  • Experience in executive compensation and employee benefits.
  • Expertise in Mergers and Acquisitions, with a focus on compensation and benefits.
  • Strong drafting, negotiation, and analytical skills.
  • Ability to manage multiple projects with competing deadlines.
  • Excellent communication and client service skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admittance to a State Bar, with eligibility to practice law in Arizona.

Certifications:

  • Licensed to practice law in Arizona, or eligible to obtain Arizona licensure.

Skills:

  • Proficient in drafting and negotiating complex legal agreements.
  • Strong knowledge of tax laws, ERISA, and other legal frameworks governing employee benefits.
  • Exceptional problem-solving and analytical skills.
