Duties

• Business Transactions:

  • Lead the execution of complex transactions, including mergers, acquisitions, and asset sales or liquidations.
  • Provide counsel on joint ventures and business succession planning.
  • Advise clients on general corporate matters, including board governance and operational strategies.

• Real Estate & Leasing:

  • Advise clients on real estate acquisitions, land purchases, and lease negotiations.
  • Provide strategic guidance on real estate transactions and property law matters.

• Regulatory Compliance & Intellectual Property:

  • Advise clients on regulatory compliance matters and intellectual property issues.
  • Facilitate legal matters related to insurance, including policy disputes and claims.
  • Assist with the formation and dissolution of legal entities, including non-profits.

• Contract Drafting & Negotiation:

  • Draft and negotiate various contracts such as employment agreements, leases, and loan modification documents.
  • Handle mediation and litigation related to contract disputes, offering legal support in dispute resolution.

• Client Interaction:

  • Provide superior client service through clear, effective communication and strategic legal advice.
  • Maintain strong relationships with clients by offering practical solutions and expert legal counsel.

Requirements

• Experience:

  • A minimum of 5-8 years of experience in corporate and business law, including expertise in business transactions and corporate governance.
  • Intellectual property experience is a plus but not required.

• Licensing:

  • Juris Doctor (.) degree from an accredited law school.
  • Active membership and good standing with the California State Bar.

• Skills:

  • Strong written and verbal communication skills, with the ability to articulate complex legal concepts clearly.
  • Proven ability to handle high-level transactions, provide strategic legal advice, and manage multiple client matters.
  • Excellent problem-solving, analytical, and organizational skills.
  • Ability to work independently while also thriving in a collaborative, team-oriented environment.

Education

• Juris Doctor (.) from an accredited law school.

Certifications

• Active membership with the California State Bar, in good standing.
