Job Title: Transactional Attorney 

Overview: 

We are seeking a skilled Transactional Attorney to join our team. As a Transactional Attorney, you will play a crucial role in supporting our team through various real estate and business transactions matters. This position requires a strong background in banking transactions, loan documents, leases, purchase agreements, construction documents and real estate ;

Responsibilities: 

Contract Drafting and Review: 

Draft, review, and negotiate a wide range of contracts, including but not limited to, vendor agreements, client contracts, partnership agreements, and other business-related ;

Ensure that contracts comply with company policies, legal requirements, and industry ;

Transactional Support: 

Provide legal counsel and support to clients on various business transactions, including mergers and acquisitions, joint ventures, corporate restructuring, and financing ;

Conduct due diligence, review transactional documents, and assist in closing ;

Corporate Governance: 

Advise on corporate governance matters, including compliance with corporate laws, regulations, and best ;

Assist in preparing board resolutions, minutes, and other corporate ;

Legal Research and Analysis: 

Conduct legal research and analysis on issues affecting the company’s business ;

Stay updated on changes in laws and regulations relevant to corporate and transactional ;

Risk Management and Compliance: 

Identify legal risks and propose appropriate risk mitigation ;

Assist in developing and implementing compliance programs to ensure adherence to applicable laws and ;

Qualifications: 

• At least 5 years of experience practicing law, with a focus on transactional work and corporate law ;

• Strong knowledge of contract law, corporate governance, and transactional legal ;

• Excellent communication skills, both verbal and written, with the ability to effectively interact with clients and ;

• Proven ability to manage multiple projects simultaneously and work under pressure to meet ;

• Attention to detail and strong analytical ;

Preferred Skills: 

• Experience or knowledge in loan documents, leases, purchase agreement & construction documents 

• Experience working in a law firm or corporate legal department specializing in transactional ;

• Familiarity with technology and software tools used for legal research and contract ;

• Ability to work independently and as part of a collaborative ;
