Duties:

• Advise on Exchange Act disclosure requirements and compliance.
• Develop and implement corporate governance policies and practices.
• Draft and review SEC filings, including annual reports and proxy statements.
• Conduct research on emerging trends and regulations in securities law.
• Assist in preparing materials for board meetings and shareholder meetings.
• Collaborate with internal teams and clients to address regulatory and compliance concerns.

Requirements:

• 3-5 years of experience in securities regulation and corporate governance.
• Proven track record in advising public companies on relevant legal matters.
• Strong academic background with high academic credentials.
• Excellent writing, research, and analytical skills.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Admission to the New York State Bar.
