Job Overview: A law firm in Washington, DC is seeking a skilled Mid-Level Nonprofit and Associations Associate Attorney to join their team. The ideal candidate will have a minimum of 4+ years of experience in a law firm environment focusing on representing tax-exempt organizations. Legal expertise in contracts, governance, corporate structures, component/affiliate relations, licensing, membership programs, and lobbying is highly valued. Admission to the DC Bar is required for this position.
Duties:
- Provide legal counsel and representation to nonprofit organizations and associations.
- Draft and review legal documents, including contracts, bylaws, articles of incorporation, and policy documents.
- Advise clients on governance issues, corporate structures, and compliance matters.
- Assist with the formation and dissolution of nonprofit entities.
- Conduct legal research and analysis on nonprofit and tax-exempt organization laws and regulations.
- Represent clients in administrative proceedings and before regulatory agencies.
- Negotiate and draft licensing, membership programs, and affiliate relationship agreements.
- Assist clients with lobbying activities and compliance with lobbying laws.
Requirements:
- Juris Doctor (JD) degree from an accredited law school.
- Minimum of 4+ years of experience practicing law, preferably in a law firm setting.
- Experience representing tax-exempt organizations is strongly preferred.
- Admission to the District of Columbia Bar.
- Strong understanding of nonprofit and tax-exempt organization laws and regulations.
- Excellent written and verbal communication skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Attention to detail and strong analytical skills.
