Job Overview: A law firm in Salt Lake City, UT, seeks a highly skilled Technology and IP Transactional Associate Attorney with 3-6 years of experience. The ideal candidate will intensely focus on life sciences transactions, including mergers and acquisitions, and experience with broader cross-industry technology and intellectual property transactions. This role involves working on strategic commercial agreements, such as collaboration and license agreements, outsourcing, and joint ventures, particularly within the life sciences sector.

Duties:

• Provide legal counsel and support for life sciences transactions, including mergers and acquisitions.
• Draft, review, and negotiate collaboration and license agreements, outsourcing agreements, and joint venture agreements.
• Advise on and manage cross-industry technology and intellectual property transactions.
• Conduct thorough due diligence and risk assessments for various transactions.
• Collaborate with clients and internal teams to develop strategic legal solutions.
• Stay updated on industry trends and legal developments in the pharmaceutical and life sciences sectors.
• Assist in structuring complex deals and transactions to align with client objectives and regulatory requirements.
• Represent the firm in negotiations and communications with clients, stakeholders, and external counsel.

Requirements:

• 3-6 years of relevant experience in technology and IP transactional law with a strong focus on life sciences.
• Demonstrated experience handling mergers and acquisitions, collaboration and license agreements, outsourcing, and joint venture agreements.
• Outstanding credentials and qualifications related to the pharmaceutical and life sciences industry.

Education:

• JD from an ABA-accredited law school.

Certifications:

• Admission to the State Bar in Utah is required.
