Duties:

  • Provide legal counsel and representation in corporate finance transactions, focusing on secured lending, asset-based, and cash flow deals.
  • Draft, review, and negotiate complex finance agreements, including loan agreements, security agreements, and other related documents.
  • Advise clients on legal and regulatory aspects of commercial finance, including risk management and compliance.
  • Conduct due diligence and legal research to support financing transactions.
  • Collaborate with clients, lenders, and other stakeholders to ensure successful execution of transactions.
  • Manage and oversee the execution of financing deals, including preparing and filing necessary legal documents.
  • Maintain up-to-date knowledge of relevant laws, regulations, and industry trends affecting corporate finance.

Requirements:

  • 3-6 years of experience in secured commercial finance, focusing on asset-based and cash-flow lending.
  • Proven experience in commercial finance lending, including secured, lender-side transactions.
  • PA Bar admission is required; DE, NJ, or NY admission is a plus.
  • Strong understanding of commercial finance and lending practices.
  • Excellent negotiation, drafting, and analytical skills.
  • Ability to work independently and as part of a team in a fast-paced environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Pennsylvania Bar is required.
  • Admission to the Delaware, New Jersey, or New York Bar is preferred but not mandatory.
