Job Overview:

A prominent law firm in Pittsburgh, PA is seeking a Fund Formation Associate Attorney. This role is focused on assisting with the formation, structuring, capital raising, compliance, and ongoing management of alternative investment funds across various strategies, including private equity, real estate, mezzanine, and hedge funds. The position offers the opportunity to work with institutional investors and private fund sponsors, guiding them through the complexities of fund formation and related capital-raising transactions.

Duties:

  • Assist in the formation and structuring of alternative investment funds.
  • Draft and review limited partnership and limited liability company agreements in the private fund context.
  • Work on all aspects of fund formation, including compliance, management, and capital raising.
  • Review fund documents to identify and address issues on behalf of institutional investors.
  • Assist with related capital-raising transactions, including programmatic joint ventures.
  • Prepare offering documents such as Private Placement Memorandums (PPMs).
  • Handle Regulation D and other securities laws governing private placements.
  • Advise clients on the Advisers’ Act and related exemption, registration, and compliance matters.
  • Collaborate with legal and business teams from transaction inception through closing.

Requirements:

  • 3-4 years of large law firm experience in fund formation.
  • Primary drafting experience for limited partnership agreements and LLC agreements in private investment fund contexts.
  • Strong understanding of market fund terms and common fund offering process negotiations.
  • Experience working with institutional investors and private fund sponsors.
  • Familiarity with securities laws, including Regulation D, and the Advisers' Act.
  • Excellent interpersonal, writing, and oral communication skills.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic record.

Certifications:

  • Licensed to practice law and in good standing with the Bar.

Skills:

  • Expertise in fund formation, structuring, and capital raising.
  • Strong drafting and negotiation skills, especially in private fund agreements.
  • Solid understanding of private placements and related securities regulations.
  • Ability to work independently and interact effectively with clients and colleagues.
  • Exceptional written and oral communication skills.
  • Ability to handle complex transactions and manage client relationships.
