Duties

  • Advise private foundations and charitable organizations on complex legal and tax matters.
  • Form and obtain tax exemption status for nonprofit corporations and charitable trusts.
  • Counsel private foundations on grant agreements, tax compliance, and succession planning.
  • Advise philanthropists on making charitable gifts and utilizing donor-advised funds.
  • Guide large 501(c)(3) organizations on corporate governance, tax exemption issues, and Unrelated Business Taxable Income (UBTI).
  • Structure mergers, affiliations, and joint ventures involving nonprofit entities.
  • Navigate complex structures that involve both for-profit and not-for-profit organizations.
  • Represent tax-exempt organizations during federal and state audits related to tax and charitable issues.

Requirements

  • Significant experience in advising private foundations and charitable organizations on legal and tax issues.
  • Proven expertise in obtaining tax-exempt status for nonprofits.
  • Strong background in grant agreements, tax compliance, and succession planning for private foundations.
  • Experience advising philanthropists on charitable giving and donor-advised funds.
  • Knowledge of corporate governance and UBTI for large 501(c)(3) entities.
  • Ability to structure mergers, affiliations, and joint ventures within the nonprofit sector.
  • Competence in managing complex legal structures involving both for-profit and nonprofit entities.
  • Experience representing organizations in federal and state tax and charitable audits.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Licensed to practice law in North Carolina.
