Job Overview:

A highly regarded law firm is seeking a mid-level associate attorney with expertise in M&A and transactional tax matters to join its Tax practice group. The role involves advising clients on complex federal tax issues related to mergers and acquisitions, entity formation, and transaction structuring. The ideal candidate will have experience handling business transactions and a deep understanding of tax implications.

Location:

Duties:

  • Advise clients on federal transactional tax matters, including mergers and acquisitions, tax structuring, and entity formation.
  • Provide guidance on choice of entity decisions and tax-efficient business strategies.
  • Draft and negotiate partnership agreements (preferred but not required).
  • Conduct legal research and analysis on tax laws and regulations affecting business transactions.
  • Collaborate with internal teams and clients to develop and implement tax strategies.

Requirements:

  • Minimum of three years of relevant experience in federal transactional tax matters.
  • Strong background in M&A, tax structuring, and entity formation.
  • Experience in drafting and negotiating partnership agreements is a plus.
  • Excellent communication, analytical, and legal writing skills.

Education:

  • Juris Doctor (.) degree required.

  • Admission to practice law in Nashville, TN
