Duties and Responsibilities

  • Draft and negotiate loan, security, intercreditor, and related documents for corporate finance transactions.
  • Provide expert legal advice on covenant compliance, ensuring adherence to financial agreements.
  • Lead due diligence teams, managing the review and analysis of financial documentation.
  • Oversee and coordinate the efforts of specialists involved in transaction processes.
  • Collaborate with clients, financial institutions, and other stakeholders to facilitate the execution of transactions.
  • Maintain high standards of document accuracy and regulatory compliance.
  • Manage multiple projects efficiently, delivering high-quality work with minimal supervision.
  • Address and resolve complex legal issues related to commercial finance and real estate financings.

Requirements

  • 4-6 years of experience in corporate finance, with a focus on commercial finance transactions, including loan originations and real estate financings.
  • Proven experience drafting loan, security, and intercreditor documents, and advising on covenant compliance.
  • Excellent academic credentials, including a JD from an accredited law school.
  • Superior writing skills and attention to detail.
  • Ability to manage multiple assignments simultaneously and deliver results with minimal supervision.
  • Strong analytical and problem-solving skills.

Education

  • Juris Doctor (JD) degree from an accredited law school.
  • Bachelor’s degree in Finance, Accounting, or a related field is preferred.

Certifications

  • Admission to the Pennsylvania Bar (or eligibility to obtain admission).
  • Certification or specialization in finance or commercial transactions is preferred but not required.
