A law firm seeks an experienced and accomplished healthcare transactional attorney to join its Roseland, NJ office at the partner level. This role involves leading intricate healthcare mergers and acquisitions, drafting and negotiating contracts, ensuring regulatory compliance, and providing strategic guidance on healthcare legal matters. The ideal candidate is a seasoned legal professional with deep expertise in healthcare law, strong business acumen, and a history of successfully managing high-value transactions.

Duties:

  • Lead and manage healthcare mergers and acquisitions, joint ventures, partnerships, and other complex transactions.
  • Draft and negotiate a variety of transactional documents, including:
    • Operating agreements
    • Management agreements
    • Employment and independent contractor agreements
    • Purchase agreements
    • Leases and billing service agreements
  • Advise clients on regulatory compliance issues such as:
    • Stark Law
    • Anti-Kickback Statute
    • ERISA compliance
    • Corporate practice of the profession and fee-splitting regulations
  • Collaborate with clients to provide strategic and innovative solutions to complex legal challenges.
  • Offer legal and business insights to guide clients through healthcare-specific legal landscapes.

Requirements:

  • A minimum of 10 years of experience in healthcare transactional law, with a proven record in M&A, regulatory compliance, and contract negotiations.
  • Comprehensive knowledge of healthcare regulations, including fraud and abuse laws, Stark Law, and corporate practice restrictions.
  • Strong organizational skills to handle multifaceted transactions and competing deadlines.
  • Exceptional interpersonal and communication skills for client interaction and internal collaboration.
  • Proficiency in legal and accounting software tools and experience with electronic documentation and e-discovery matters.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active Bar admission in New Jersey (mandatory).
  • New York Bar admission (preferred but not required).

Skills:

  • Expertise in healthcare M&A, regulatory compliance, and contract drafting.
  • Strong commercial awareness and the ability to develop creative, business-focused legal solutions.
  • Detail-oriented approach with the ability to manage complex legal issues effectively.
