A law firm is seeking a highly skilled and experienced Capital Markets Associate Attorney to join its widely recognized Corporate Finance and Capital Markets practice in Boston, MA. The ideal candidate will have extensive experience representing issuers, underwriters, and placement agents in public offerings, private placements, and other securities offerings, as well as a solid background in compliance with the 1933 Act and 1934 Act. Experience in permanent capital, M&A, and the life sciences industry is advantageous.

 

Duties:

  • Represent issuers, underwriters, and placement agents in public offerings, private placements, and other securities offerings.
  • Ensure compliance with and reporting under the 1933 Act and 1934 Act.
  • Advise clients on regulatory and compliance matters related to securities offerings.
  • Draft and review offering memoranda, prospectuses, and other transaction documents.
  • Conduct due diligence and coordinate with various stakeholders throughout the transaction process.
  • Provide legal support and strategic advice on mergers and acquisitions, especially in relation to capital markets.
  • Collaborate with colleagues across different practice areas to support comprehensive client service.
  • Stay abreast of changes in securities regulations and inform clients accordingly.

 

Requirements:

  • 4-7 years of capital markets experience.
  • Proven experience representing issuers, underwriters, and placement agents in various securities offerings.
  • In-depth knowledge of compliance with the 1933 Act and 1934 Act.
  • Experience in permanent capital and mergers & acquisitions (M&A) is highly desirable.
  • Large law firm experience is required.
  • Experience in the life sciences industry is a plus.
  • Strong analytical, drafting, and negotiation skills.
  • Excellent communication and interpersonal skills.
  • Ability to manage multiple projects and deadlines in a fast-paced environment.

 

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Massachusetts State Bar.

 

Certifications:

Active membership in the Massachusetts State Bar.

 

Skills:

  • Exceptional legal research and writing abilities.
  • Strong organizational and project management skills.
  • Proficiency in Microsoft Office Suite and legal research tools.
  • Ability to work both independently and collaboratively within a team.
