Job Overview:

A law firm is seeking a Mid-to-Senior Level Corporate Healthcare Transactional Associate Attorney to join its dynamic team of legal professionals. The attorney will have the opportunity to work with some of the most innovative healthcare clients across the country, advising them on strategic business transactions and corporate operations. This role involves extensive client interaction, requiring a proactive approach to managing projects and solving complex legal and business issues in healthcare-related transactions.

Duties and Responsibilities:

  • Work closely with a team of attorneys to provide clients with strategic guidance on achieving their business goals.
  • Advise clients on healthcare-related transactional matters, including mergers and acquisitions (M&A), asset and equity acquisition transactions, venture capital and private equity investments, and joint venture transactions.
  • Assist clients with corporate structuring, including entity formation, capital raising, and corporate governance.
  • Provide counsel on day-to-day corporate matters such as contract negotiations, operational strategy, and organizational workflow.
  • Serve as a key advisor for clients, taking ownership of projects, and regularly communicating with clients and third-party advisors.
  • Research and analyze complex legal issues in healthcare transactions and develop creative solutions to meet client needs.
  • Collaborate effectively with team members to ensure successful transaction execution.
  • Support and guide junior attorneys and staff in corporate healthcare law matters when necessary.

Requirements:

  • 4-6 years of experience in mergers and acquisitions (M&A) and private equity transactions, preferably in the healthcare sector.
  • Demonstrated experience with complex strategic transactions such as M&A, joint ventures, venture capital, and private equity investments.
  • Strong understanding of healthcare regulations, compliance, and corporate governance in a healthcare transactional setting.

Education:

  • Juris Doctor (JD) degree from an accredited law school with outstanding academic credentials.

Certifications and Licenses:

  • Active member in good standing of the Texas State Bar (TX Bar admission required).
