Title: Fund Formation Associate Attorney

Job Overview: A prominent law firm based in Los Angeles, CA, is seeking an experienced Fund Formation Associate Attorney to join their dynamic Corporate and Private Equity Department. This role involves working on various fund formation matters, capital raising transactions, and investment structuring for alternative investment funds. The candidate will work closely with legal and business professionals to manage the formation, structuring, compliance, and ongoing management of a variety of investment funds.

Duties:

  • Assist with the formation, structuring, and capital raising of alternative investment funds, including private equity, real estate, mezzanine, and other traditional closed-end funds.
  • Manage and oversee hedge funds, evergreen funds, and other hybrid funds.
  • Participate in the equity investment process for independent sponsors, including structuring and managing joint ventures.
  • Draft and negotiate limited partnership agreements and limited liability company agreements.
  • Advise and interact with legal and business professionals from the inception to the closing of transactions.
  • Prepare offering documents, including Private Placement Memorandums (PPMs), in compliance with Regulation D and other securities laws governing private placements.
  • Provide counsel on fund manager compliance with the Advisers’ Act, related exemptions, and registration requirements.
  • Review and identify issues in fund documents on behalf of institutional investors.

Requirements:

  • 3-4 years of experience working at a large law firm with a focus on private fund sponsors and institutional investors.
  • Extensive experience in fund formation, capital raising, and investment structuring.
  • Primary drafting experience for limited partnership agreements and limited liability company agreements in the context of private investment funds.
  • A deep understanding of market fund terms and the nuances commonly negotiated in fund offerings.
  • Experience with securities laws governing private placements, including Regulation D.
  • Familiarity with the Advisers’ Act and related compliance and registration issues for fund managers.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic record.

Certifications:

  • Active Bar membership in the state of California (or eligibility for admission).

Skills:

  • Excellent drafting, writing, and oral communication skills.
  • Strong interpersonal skills and the ability to work independently with both clients and colleagues.
  • Solid analytical skills and the ability to manage multiple complex projects simultaneously.
  • Experience advising both legal and business professionals on intricate fund-related matters.
