A law firm in Palo Alto, CA is seeking a Technology Transactions (Biotech) Associate Attorney with 6+ years of experience in transactional and licensing matters and a strong interest in the life sciences sector. The successful candidate will have opportunities to engage with clients, handle a variety of dynamic transactions, and collaborate with a team of enthusiastic attorneys across the firm. A background in biological sciences, chemistry, engineering, pharmacy, or business is highly valued.

Key Duties and Responsibilities:

  • Manage and lead technology transactions and licensing matters focused on biotechnology, pharmaceuticals, digital health, medical devices, diagnostics, and discovery tools.
  • Provide strategic legal counsel to clients on complex transactions, including day-to-day operational issues.
  • Draft, review, and negotiate various agreements, including complex partnering and licensing arrangements, research and development agreements, manufacturing, supply, and distribution agreements.
  • Handle agreements with academic and research institutions, clinical trial arrangements, material transfer agreements, and non-disclosure agreements.
  • Support and oversee mergers, acquisitions, divestitures, spin-outs, and joint ventures involving life sciences companies.
  • Collaborate with internal teams and clients to structure and negotiate complex transactions effectively.
  • Stay abreast of industry trends, regulatory developments, and technological advancements in the life sciences sector.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice in the state of California.
  • 6+ years of experience in transactional and licensing matters, with a preference for life sciences expertise.
  • Strong academic credentials and a demonstrated interest in the life sciences field.
  • Proven experience with various transaction types, including partnering, licensing, R&D, manufacturing, clinical trials, and M&A.
  • Comfort with significant client interaction and a desire to lead in structuring and negotiating complex transactions.
