Job Title: Mergers and Acquisitions and Private Equity Associate Attorney

Job Overview: A law firm in Santa Monica, CA, seeks a highly motivated and skilled Associate Attorney specializing in Mergers and Acquisitions (M&A) and Private Equity. The ideal candidate will have 3-4 years of experience in M&A and Private Equity transactions within a major law firm setting. Membership to the CA State Bar is required.

• Duties:

  • Conduct legal research and due diligence for M&A and Private Equity transactions.
  • Draft and review transactional documents, including purchase agreements, merger agreements, and disclosure schedules.
  • Assist in negotiations and closings of M&A and Private Equity deals.
  • Provide legal advice and support to clients on various M&A and Private Equity matters.
  • Collaborate with partners and senior attorneys on complex transactions.

• Requirements:

  • JD degree from an accredited law school.
  • Membership to the CA State Bar.
  • 3-4 years of experience in Mergers, Acquisitions, and Private Equity within a major law firm.
  • Excellent academic credentials.
  • Superior verbal and written communication skills.
  • Strong analytical and problem-solving abilities.
  • Ability to work efficiently under pressure and meet deadlines.
  • Detail-oriented with a high level of accuracy.
  • Demonstrated ability to work independently and as part of a team.
