A law firm in Pittsburgh, PA is seeking a Corporate Securities Associate Attorney to join its team. The successful candidate will have substantial experience in securities law, particularly with capital markets transactions and compliance with the ’34 Act and ’33 Act. The role requires a proactive, confident attorney with a strong academic background and the ability to manage complex securities matters effectively.

Duties:

  • Lead compliance with the Securities Exchange Act of 1934 (’34 Act) and the Securities Act of 1933 (’33 Act), including preparation and filing of SEC documents.
  • Manage public and private capital markets transactions, including offerings of equity, debt, and other securities.
  • Provide guidance on corporate governance, including adherence to exchange listing requirements.
  • Advise on securities issues such as Rule 144, Section 13, and Section 16, and handle executive compensation matters.
  • Draft, review, and negotiate securities-related documents, including registration statements, prospectuses, and other regulatory filings.
  • Offer strategic legal counsel and support to clients on securities regulation and compliance.
  • Stay informed on changes in securities laws and regulations and ensure client compliance.
  • Collaborate with clients and internal teams to develop and execute effective legal strategies.

Requirements:

  • Minimum of 3 years of experience in corporate securities law with a focus on securities compliance and capital markets transactions.
  • Extensive experience with public and private offerings of equity, debt, and other securities.
  • Strong understanding of corporate governance, exchange listing requirements, and securities regulations such as Rule 144, Section 13, and Section 16.
  • Experience with executive compensation issues.
  • Self-motivated, confident, and a personable team player with exceptional professional and academic credentials.
  • Admission to practice law in the state of Pennsylvania.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to practice law in the state of Pennsylvania.

Skills:

  • In-depth knowledge of securities laws and regulations.
  • Proven expertise in managing complex capital markets transactions and compliance issues.
  • Strong drafting, negotiation, and communication skills.
