Job Title: Private Equity Attorney
Job Overview:
A prestigious law firm in Reston, VA is seeking a highly skilled attorney with 4-5 years of specialized experience in private equity and mergers & acquisitions. The role requires proficiency in drafting and negotiating a variety of transaction-related documents and working closely with private equity fund clients and portfolio companies. This is a dynamic position where the ideal candidate will serve as a key member of client business teams, leveraging strong legal and business acumen to deliver high-level legal counsel.
Duties:
- Draft, review, and negotiate purchase and merger agreements.
- Prepare and negotiate LLC, LP, and other ancillary transaction documents.
- Support day-to-day legal needs of private equity funds and portfolio companies.
- Collaborate with client business teams, offering strategic legal guidance.
- Lead and manage legal aspects of mergers, acquisitions, and equity transactions.
- Conduct legal research and provide analysis on relevant legal matters.
- Ensure compliance with applicable regulations and industry standards.
Requirements:
- 4-5 years of experience in private equity and mergers & acquisitions law.
- Experience in drafting and negotiating a range of legal agreements related to private equity.
- Strong business judgment and strategic thinking.
- Ability to manage multiple projects and work collaboratively in a fast-paced, team-oriented environment.
- Prior experience at a large law firm handling private equity clients.
Education:
- Juris Doctor (JD) from an accredited law school.
- Excellent academic credentials.
Certifications:
- Licensed to practice law and in good standing with the State Bar.
- Preferably admitted to the Virginia State Bar or able to waive in.
