A law firm is seeking a skilled Joint Ventures Associate Attorney to join their New York City, NY office. The ideal candidate will have experience with complex and highly sophisticated real estate joint ventures and intricate real estate limited liability company and partnership agreements. This position requires excellent writing, interpersonal, and communication skills, along with the ability to work both collaboratively in a team setting and independently with significant responsibilities.

Duties and Responsibilities

  • Draft, review, and negotiate complex real estate joint venture agreements, limited liability company agreements, and partnership agreements.
  • Provide legal counsel and support to clients on joint venture transactions, ensuring compliance with applicable laws and regulations.
  • Conduct due diligence and manage the transaction process from inception to closing.
  • Collaborate with other attorneys, clients, and stakeholders to structure and execute joint ventures and other related transactions.
  • Prepare and review documents related to real estate acquisitions, dispositions, and financings.
  • Advise clients on tax implications and strategies related to joint ventures, including partnership tax considerations.
  • Stay current with developments in real estate law and joint ventures to provide informed legal advice.
  • Participate in client meetings, negotiations, and business development activities.

Requirements

  • Admission to the State Bar of California.
  • 3-6 years of experience with joint ventures, preferably in a major law firm setting.
  • Proven experience with complex real estate joint ventures and real estate limited liability company and partnership agreements.
  • Strong legal research and writing skills.
  • Excellent interpersonal and communication skills.
  • Ability to handle significant individual responsibilities while working effectively in a team environment.
  • High level of academic achievement.

Education

  • Juris Doctor (JD) degree from an accredited law school.
  • A tax . and/or familiarity with partnership tax is helpful.

Certifications

  • Active membership in the State Bar of California.
