Duties and Responsibilities:

  • Advise clients on public company reporting obligations, including SEC compliance and corporate governance matters.
  • Counsel clients on public and private offerings of equity and debt securities.
  • Draft and review legal documents related to securities offerings, such as prospectuses, offering memoranda, and registration statements.
  • Oversee and coordinate due diligence processes, managing specialists and ensuring thoroughness in the review of transactions.
  • Monitor changes in SEC regulations and reporting requirements to ensure client compliance.
  • Provide legal counsel on corporate governance and compliance best practices.
  • Work closely with clients, internal teams, and external advisors to execute capital markets transactions efficiently.
  • Manage multiple client assignments with minimal supervision, meeting deadlines and maintaining high-quality work.

Requirements:

  • 2-5 years of experience in corporate law with an emphasis on securities law and capital markets transactions.
  • Expertise in public company reporting, SEC regulations, and corporate governance compliance.
  • Experience leading due diligence teams and handling public and private securities offerings.
  • Strong legal drafting skills, particularly in the context of securities and regulatory filings.
  • Ability to independently manage multiple assignments and meet deadlines.

Education and Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in good standing with the Texas State Bar or eligibility for admission.
