A law firm seeks an experienced Corporate Attorney to join its Dayton, OH office. This is an excellent opportunity for a skilled transactional attorney with at least four years of M&A experience, ideally in private equity buy-side representation. In this hybrid role, the attorney will work closely with high-performing teams on complex M&A transactions, including those involving representations & warranties insurance (RWI), while also having the chance to expand their leadership and business development skills.

Duties:

  • Lead M&A due diligence teams and manage negotiations as a key player in transactions, especially those involving RWI.
  • Serve as part of a Tier 1 Private Equity M&A team while also taking the lead in transactions representing RWI underwriters.
  • Coordinate cross-functional teams of subject matter experts to address complex deal issues.
  • Use technology and support staff to enhance efficiency and the quality of work product throughout the deal process.
  • Foster business development by building relationships with clients and potential clients in the M&A space.
  • Support deal teams in all phases of M&A transactions, from initial negotiation through closing.
  • Contribute to the growth of the firm’s M&A-adjacent practice area.

Requirements:

  • At least 4 years of transactional experience, particularly in M&A with a focus on private equity buy-side transactions.
  • Proven ability to lead M&A due diligence and negotiation teams.
  • Experience in managing M&A transactions involving RWI is preferred.
  • Strong business development skills with a growth mindset for both practice and client development.
  • Proficiency with modern collaboration software, such as Teams, Office 365, and similar tools.
  • Excellent communication, organizational, and problem-solving abilities.
  • Proven success in coordinating and working with diverse teams on complex transactions.

Education:

  • Juris Doctor (.) from an accredited law school.

Certifications:

  • Admission to the bar in the state of Ohio or eligibility to become licensed.

Skills:

  • Strong background in corporate M&A transactions, particularly in private equity buy-side deals.
  • Advanced negotiation skills and experience in leading due diligence processes.
  • Proficiency with transactional technology tools, including real-time collaboration software.
  • Strong leadership and teamwork abilities, with a focus on business development.
  • Excellent written and verbal communication skills.
