Managing Senior Counsel - Legal - United States; Newark, New Jersey - Full-Time - Remote Overview: Panasonic Corporation of North America (PNA) is seeking a Managing Senior Counsel to serve as the dedicated legal business partner to Panasonic System Solutions Company of North America (PCONA), a division of PNA. This position will provide legal support on all business-to-business transactional matters, including negotiating and drafting agreements for hardware, software, and cloud services solutions. The successful candidate will also monitor compliance with applicable laws and provide guidance on product development, international expansion, and other legal matters. This position will have three direct reports and will report to the Chief Counsel, Transactions. Responsibilities: - Prepare and negotiate commercial agreements for PCONA's domestic and global business. - Advise and counsel business clients on minimizing risk and ensuring compliance with laws and corporate policies. - Identify legal issues and provide guidance on product compliance, technology solutions, and business growth. - Manage projects to optimize and maintain best-in-class standards for the Transactions Team. - Oversee Senior Counsel, Transactions and Contracts Manager. Requirements: Education and Experience: - Law degree from accredited law school and admission to a state bar. - At least 10 years of combined relevant experience at a law firm and in-house at a global company. - Preferred experience in commercial contracts and transactions or product counsel, with antitrust experience a plus. - Experience negotiating and drafting customer-facing agreements, procurement agreements, and technology and software license agreements. - Experience advising a business that provides connected devices, AI, and cloud server networked equipment. Competencies: - Strategic approach to delivering legal support as an effective business partner. - Strong negotiation and drafting skills with attention to detail. - Ability to manage a diverse workload and prioritize tasks. - Ethical and high level of integrity. - Advanced understanding of UCC Article 2 principles. - Intermediate knowledge of legal and business issues related to services and licensing software and technology solutions. - Ability to build consensus among internal stakeholders and escalate issues when necessary. - Ability to work independently, meet deadlines, and resolve complex problems. - Demonstrated ability to implement legal strategies to meet business goals. - Willingness to adapt to a dynamic and high-growth environment. - Ability to work well under pressure and diffuse difficult situations. Communications: - Excellent verbal and written communication skills. - Ability to advise and influence senior management and executive teams. - Ability to adapt communication for different audiences. - Experience collaborating with overseas affiliates. The salary range for this position is $190k-$220k, and actual compensation will vary based on individual qualifications, experience, and location.
