Seeking a Junior to Mid-level Corporate Lawyer with 2+ years of corporate experience, to support one of the largest and growing practices in the nation handling large- scale healthcare transactions. Candidate should have experience in the practical and strategic aspects of corporate M&A work. Some familiarity with health care provider regulatory issues is a plus. Must have a JD degree from an ABA-approved law school and be an active member in good standing of the Bar.

Lawyer

Seeking a Lawyer with 8+ years of experience working to enforce (or defend) the U.S. privacy and data security laws. Candidates should worked at the Federal Trade Commission, U.S. Department of Justice, or a state Attorney Generals' office. International experience a plus. Experience with technology industries, issues lying at the intersection of government regulation and technology, or FTC/state AG enforcement regarding privacy and data security issues is desirable. Familiarity with computer, network, database, and web technologies is preferred. CIPP certification is a plus. Superior academic credentials and strong verbal, written, and interpersonal skills are required. Must have a JD degree from an ABA-approved law school and be an active member in good standing of the Bar.

Junior - Mid-Level Corporate Lawyer

The candidate should have a JD Degree from an ABA-approved law school and be an active member in good standing of the Bar. Should have 2+ years of corporate experience to support large-scale health care transactions. Should have deep experience in the practical and strategic aspects of corporate M & A work; excellent technical drafting and negotiating skills.   

Asset Management Lawyer

Duties: Well equipped with handling legal and regulatory issues relating to the Investment Company Act of 1940. Advise the business on legal and regulatory requirements and be able to give ongoing support to the compliance department and assist with regulatory examinations. Preparation of regulatory fillings relating to SEC registration statements. Draft, review and negotiate fund agreements, including service provider agreements. Participate in or represent the legal team on various integral meetings. Assist in drafting fund policies and procedures within the framework of regulatory and legal compliance. Review fund marketing materials and fund shareholder reports.  

Qualification Requirements: The candidate must possess a J.D. degree from a reputable law school. Must have 5+ years of experience as a lawyer in a mid to large firm, the government or in the legal department of a financial services company. Should have an asset management background (e.g., mutual funds, etc.) and significant experience with the Investment Company Act of 1940. Knowledge of ETFs is required. Should have the ability to handle multiple tasks and projects.  

Assistant VP - Trusts and Estates Lawyer

The candidate should have 4+ years of experience, ideally both at a law firm's T&E department as well as subsequent in-house experience advising a T&E area of a private bank. Should have experience with estate planning and drafting trusts and wills; trust and estate accounting proceedings; the administration of estates and trusts; and tax laws affecting trusts and estates. Exposure to T&E litigation is also necessary.

Brokerage/ISDA Lawyer

The candidate's duties and responsibilities: Drafting and negotiating the following New York law agreements and contracts: ISDA Master Agreements (including Schedules and Credit Support Annexes thereto), US Master Repurchase Agreements, Global Master Repurchase Agreements, Securities Lending Agreements, Master Netting Agreements, Fixed Income Prime Broker Agreements, FX Prime Brokerage Agreements, Equity Prime Brokerage Agreements, Futures and Options Agreements, Cash Trading Agreements, Give-Up Agreements, Distribution Agreements, Clearing Documentation, Non-Disclosure Agreements, Custodial Agreements, Security Agreements and any other relevant documentation and subsequent amendments. Reviewing and advising on standard industry netting opinions. Assisting with the production of standard forms and templates, Providing transactional support and management. Assisting in special projects such as contract review and contract abstractions. Liaising and coordinating with the Legal, Risk and Capital Division of bank and other internal departments as necessary. Should have Law Degree with 3-5 years of experience with a law firm, bank, or in-house corporate background with a focus in Contract drafting and negotiation, preferably within the investment banking or financial services industry working with some or all of the contracts listed above. Experience in capital markets and experience working with hedge funds and investment managers would be valuable. Should have strong analytical skills; Good legal drafting ability; Detail oriented; Excellent communication skills, both written and verbal.

Lawyer

Seeking a Lawyer with 2 years of experience to join its highly sophisticated pharmaceutical patent litigation practice. Candidates must have academic backgrounds in biology or a closely related science. While the firm prefers candidates who have patent litigation experience, it will also consider lawyers who have focused in complex commercial litigation. And, while admission to the Delaware Bar is preferred, it will also consider candidates who are willing to sit for the exam in the summer.
