'This practice area covers private equity. Private equity law involves negotiating, structuring, and documenting a variety of transactions including fund formations, venture capital investments, control acquisitions of public and private companies, and dispositions of previously acquired companies or investments. Counsel is also used to assist private equity firms with company acquisitions, capital raising and transactions, leveraged recapitalizations, fund dividend payments, and acquisitions funded by debt, also known as “leveraged buyouts.”

Private Equity Associate

The candidate should have graduation in Law, Bar admittance, English knowledge. Master and Additional languages are a plus. Significant law firm experience in the area of practice is required.

M&A / Private Equity Attorney

The candidate must have 4-5 years of significant experience in representing companies and private equity funds in M&A transactions, as well as minority investments and joint ventures. Representations should include the wide range of M&A activity, including acquisitions and divestitures of private companies, private equity transactions, joint ventures, public acquisitions and divestitures, going private transactions, proxy contests and unsolicited bids and spin-offs. Should have familiarity with at least several of these types of representations as well as a desire to work on general corporate matters. Should preferably have excellent academic credentials, top-tier law firm experience, and strong analytical skills.

Corporate Finance/Private Equity Associate

The candidate should have 3-5 years of finance/private equity transactional experience. Should have significant debt finance experience, particularly with leveraged acquisition financing transactions. Both cash flow and asset based lending experience is preferred. Must have excellent academic credentials and large law firm experience, strong analytical, writing, and verbal skills. Must be admitted to and in good standing with the Texas Bar or willing to take Texas Bar at the first opportunity.

M&A/Private Equity Attorney

The candidate with High level of academic achievement from a nationally recognized law school is required. Must have 3-6 years of experience with mergers and acquisitions. Candidates with experience and interest in private equity will be prioritized. Must have strong skills with drafting and negotiating transaction documents, managing client relationships, supervising junior associates, and handling day-to-day demands and work flow requirements of a variety of clients with sophisticated needs.

Private Equity Attorney

The candidate must have 3-5 years of experience with private equity and M&A experience. Should preferably have excellent drafting, writing and analytical skills, strong attention to detail, organizational, verbal, interpersonal and project management skills. Experience in drafting and negotiating purchase and merger agreements and other ancillary transaction documents and otherwise meeting the day-to-day requirements of private equity fund and portfolio company clients is expected. Excellent academic credentials and prior large firm experience required.'
